| Siva Subramaniam is an international Tax
Partner at PricewaterhouseCoopers LLP, resident in New York City, and is
a member of the Firm's International Tax Services (ITS) group. Siva has
a significant amount of international tax experience, with particular focus
on the information and telecommunications industries. He specializes in
international mergers, acquisitions, reorganizations and structuring joint
ventures and licensing agreements. Siva is the Partner in charge of the
Firm's India Desk. In this capacity, he has worked on structuring a number
of international investments into India and structuring Indian companies'
investments into the U.S.

| Sri Rajan is an international tax manager
at PricewaterhouseCoopers LLP, resident in New York City. Sri has significant
amount of experience working with U.S. and foreign-based multinational companies
on a wide range of international tax issues, including the structuring of
international joint ventures, cross-border financing and repatriation, intangible
property planning and international mergers and acquisitions. Sri is also
a member of the Firm's India Desk. In this capacity, he has worked on structuring
a number of international investments into India and structuring Indian
companies' investments into the U.S.
